Agreement to these terms

By creating an account or using Leeward, you agree to these terms. If you are using Leeward on behalf of a company, you confirm you are authorized to accept these terms for that company. If you do not agree, please do not use Leeward.

What Leeward is — and is not

Leeward reads the contracts you upload, tracks each engagement's milestones, and emails you when a milestone becomes billable. It is a tool to help you stay on top of your invoicing.

Leeward is not your system of record, your accounting system, or a source of legal, tax, or financial advice. It does not file invoices or contact your clients. You decide what to invoice and when. Always check Leeward's output against your actual signed contract before you act on it.

Eligibility and your authority

You must be at least 18 and able to enter a binding agreement. You are responsible for ensuring you have the right to upload each contract you give Leeward and to have it processed as described in our Privacy policy.

Your account

You sign in with a one-time email link, so there is no password. Keep access to your email secure — anyone who can open your sign-in link can reach your account. Tell us promptly if you believe your account has been accessed without your permission.

Acceptable use

You agree not to:

• Upload content you do not have the right to upload, or anything unlawful.
• Use Leeward to break the law or to infringe someone else's rights.
• Attempt to disrupt, overload, reverse-engineer, or gain unauthorized access to the service.
• Resell or repackage the service without our permission.

Your content and the rights you keep

You own the contracts you upload and the data extracted from them. You grant Leeward a limited license to store and process that content for the sole purpose of providing the service to you — reading your contracts, tracking milestones, and sending your alerts.

We do not use your contracts to train AI models, and we do not sell your data. You can delete your content at any time, which ends that license for the deleted content.

A free service, for now

Leeward is currently free. We may change what is offered, introduce paid tiers, or discontinue features in the future; if we ever charge, we will tell you before any paid feature applies to you. Because it is free and in early access, the service is provided without an uptime or support commitment.

Accuracy and no warranty

AI extraction is not perfect. Leeward can miss a milestone, misread a date, or get an amount wrong, which is exactly why you confirm every detail before it is saved and remain the final check. The service is provided "as is" and "as available," without warranties of any kind to the fullest extent the law allows. You are responsible for your invoicing decisions.

Limitation of liability

To the fullest extent permitted by law, Leeward is not liable for any indirect, incidental, or consequential losses, or for any lost revenue, missed invoice, or business loss arising from your use of (or inability to use) the service. Leeward is a safety net you choose to use, not a guarantee.

Indemnification

You agree to cover Leeward against claims arising from content you upload without the right to do so, or from your misuse of the service, to the extent the law allows.

Suspension and termination

You can stop using Leeward and delete your account at any time. We may suspend or end access if these terms are broken or if needed to protect the service or other users. You can export or delete your data before you go.

Governing law and disputes

These terms are governed by the laws of the jurisdiction where Leeward is operated.

Changes to these terms

We may update these terms. When we do, we will update this page and the "last updated" date above, and for material changes we will make a reasonable effort to let you know. Continuing to use Leeward after a change means you accept the updated terms.
